Terms of Service

01The agreement

These Terms of Service ("Terms") are a contract between you and Cofoundy ("Cofoundy", "we", "us") covering your use of cofoundy.ai, the waitlist, and the Cofoundy product including its AI partners (together, the "Service"). By creating an account, joining the waitlist or using the Service you agree to these Terms and to our Privacy Policy.

If you use the Service on behalf of a company, you confirm you have authority to bind that company, and "you" means the company as well as you personally.

02Eligibility and accounts

• You must be at least 18 and able to enter a binding contract.
• Give us accurate information and keep it current. Waitlist and accounts require a company email address.
• You are responsible for everything that happens under your account. Keep your credentials private and tell us at security@cofoundy.ai immediately if you suspect unauthorised access.
• Early access is offered in batches at our discretion. A place on the waitlist does not guarantee access or any particular date.

03The Service and your partners

Cofoundy provides AI partners — for product, growth, operations, finance and sales — that draft, plan and propose work based on the context you give them. Partners propose; you decide. Nothing is sent, published, purchased or committed on your behalf without an action you take to approve it.

Partners are software. Their output can be wrong, incomplete or out of date, and it is not legal, financial, tax, accounting or investment advice. A runway model is a model; a contract checklist is not a lawyer. You are responsible for reviewing output before you rely on it or act on it.

We are building quickly. Features may change, be added or be removed, and early-access versions may have bugs or downtime. We will tell you about material changes where we can.

04Your content and your memory

You own the content you put into the Service — descriptions, documents, decisions, messages — and everything your partners produce from it ("Your Content"). We claim no ownership of it.

You grant us a limited licence to host, process, store, display and transmit Your Content solely to provide and secure the Service for you. We do not use Your Content to train models that serve other customers, and we do not sell it.

You are responsible for Your Content: that you have the rights to share it, that it doesn't break the law or someone else's rights, and that it contains no more personal data of third parties than you are entitled to process. Files read through desktop sync stay on your machine unless you choose to upload them.

05Acceptable use

You agree not to:

• Use the Service to break the law, infringe others' rights, or generate content that is fraudulent, defamatory, harassing or discriminatory.
• Attempt to access other customers' data, probe or disrupt our infrastructure, or bypass rate limits, authentication or usage controls.
• Reverse engineer the Service, scrape it, or use it to build a competing product or to train models.
• Resell or sublicense access, or share one seat between multiple people beyond what your plan allows.
• Submit content you don't have the right to share, including confidential information belonging to others.

We may suspend or terminate accounts that breach these rules. Where practical we will warn you first.

06Our intellectual property

The Service, its software, design, mascot, name and logos belong to Cofoundy and its licensors and are protected by intellectual-property law. Apart from the rights expressly granted in these Terms, we keep all rights. Feedback you give us about the Service may be used by us without obligation to you.

07Fees and plans

Early access begins with one partner free. Paid plans, pricing and billing terms will be published before they apply to you, and you will be asked to agree to them before you are charged. Unless stated otherwise, fees are non-refundable, exclusive of tax, and billed in advance for the plan period. We may change prices with at least 30 days' notice; the change applies from your next billing period.

08Third-party services

Partners work with tools you connect (email, calendars, documents, code hosting and so on) and are powered by third-party model providers. Your use of those services is governed by their terms. Connect only accounts you are entitled to connect, and disconnect them whenever you like.

09Termination

You can close your account at any time from settings or by emailing support@cofoundy.ai. We can suspend or end your access if you breach these Terms, if we must for legal reasons, or with 30 days' notice if we discontinue the Service. After termination you can export Your Content for 30 days; after that we delete it as described in the Privacy Policy. Sections that by their nature should survive — ownership, disclaimers, liability, disputes — survive.

10Disclaimers

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that partner output will be accurate, complete or suitable for any purpose.

11Limitation of liability

To the fullest extent the law allows, Cofoundy will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunity, arising from or related to the Service — even if we were told they were possible. Our total liability for all claims in any 12-month period is limited to the amount you paid us in that period, or USD 100 if you paid nothing.

Nothing in these Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.

12Indemnity

You will defend and indemnify Cofoundy against claims, losses and expenses (including reasonable legal fees) arising from Your Content, your use of the Service in breach of these Terms, or your violation of law or of someone else's rights.

13Governing law and disputes

These Terms are governed by the laws of [jurisdiction], without regard to conflict-of-law rules. The courts of [jurisdiction] have exclusive jurisdiction, except that either party may seek injunctive relief anywhere to protect its intellectual property. Before filing a claim, each party agrees to try in good faith to resolve the dispute by contacting the other; most things can be sorted with an email.

14Changes to these Terms

We may update these Terms as the product and the law evolve. We will post the new version here and update the date at the top; for material changes we will email account holders at least 14 days before they take effect. Continuing to use the Service after that date means you accept the new Terms.
